This agreement (“Agreement”) outlines the terms and conditions governing the relationship between YOUKEN GROUPS, hereinafter referred to as the “Provider,” and its clients, sub-distributors, and partners.

1. Definitions

1. Provider: YOUKEN GROUPS
2. Client(s): Individual artists, music labels, content creators, and other entities utilising services provided by YOUKEN GROUPS.
3. Sub-Distributor(s) (SUB•DISTRO): Entities partnering with YOUKEN GROUPS for music distribution services.

2. Services Offered

1. Music Distribution: Distribution of music content to digital platforms, retail networks, radio stations, and other relevant channels.
2. Music Publishing: Administration and monetization of music publishing rights, including collection and distribution of royalties.
3. Sub-Distribution: Provision of distribution services to external sub-distributors under the SUB•DISTRO network.

3. Terms of Service for Clients

1. Music Distribution Services:

1. Geographic Coverage: Worldwide.
2. Royalty Payments: Based on agreed terms and frequency.
3. Reporting: Clients must accurately report sales, streams, and other relevant data for royalty calculations.
4. Payment Terms: Payment within 3 – 5 business days from invoice date.

         b.  Music Publishing Services:

1. Copyright Administration: Management of copyrights and licensing for client’s music compositions.
2. Royalty Collection: Collection and distribution of publishing royalties.
3. Reporting: Accurate reporting of publishing revenue and royalties.

4. Terms of Service for Sub-Distributors (SUB•DISTRO)

Distribution Services:

• Access to Platforms: Digital platforms, retail networks, and official playlists.
• Credit Limit: 

• Maximum credit limit set at $100 USD. 
• To be paid within 6 months from invoice date.
• If no payment is received from Sub-Distributor, a 10% interest is applied to the credit each month until repayment.
• If the maximum amount is excited, YOUKEN GROUPS will stop providing services and Article 5, Section a,2,c will be applied as well.

• Payment Terms: Payment within 3 – 5 business days from invoice date.
• Reporting: Accurate reporting of sales, royalties, and payments.
• Distribution Form: Clients must complete the distribution form (https://youkengroups.com/subdistro-form) with relevant distribution information.
• Confidentiality: Maintain confidentiality regarding client and business information.

5. Compliance and Accountability

1. All parties agree to comply with local and international laws, copyright regulations, and industry standards.
2. Non-compliance may result in suspension of services or termination of agreements.

6. Confidentiality and Data Security

Protection of confidential information, data security measures, and privacy policies apply to all parties.

8. Acceptance and Agreement

By utilising services provided by YOUKEN GROUPS or participating as a sub-distributor, clients and partners acknowledge their agreement to abide by the terms outlined in this Agreement.

This Agreement may be subject to periodic review and updates. Parties will be notified of any changes in advance.
